What is Binavn (additional company name) in Denmark?
Every company in Denmark must have its own name. It is up to the business owners to decide what the company name should be. However, it must follow certain rules. It is possible to establish up to 5 additional names, or so-called binavn.
Company name rules:
- The name must not be taken
- The name must not be misleading
- The name of another company cannot be used
- The name must indicate the form of the company (e.g. ApS i.e. Danish Ltd.)
What is a Binavn?
A Binavn is simply an additional name for your company, designed to prevent other companies from registering their business under that particular name. There are several reasons why companies choose to register a Binavn for their company in Denmark. Below are 4 examples.
Example 1 – you sell products/services under different brand names: A restaurant that also provides catering may wish to have it appear in the name. For example, the restaurant could be called „Danish food” and the catering could be called "Danish food Catering."
Example 2 - You want to prevent others from registering under a specific name A company that is concerned that competitors will use names that resemble its name, or a company that expects to use a specific name for its brand in the future.
Example 3 – Your business needs to have multiple locations A restaurant chain with locations in several different cities might want the city name to be part of the company name. For example. a restaurant named "Danish food" that is located in Copenhagen and Århus might want to have the following names: Danish Food København and Danish Food Århus.
Example 4 - You want to advertise your products to different audiences. A clothing brand that produces affordable clothes, but also wants to market some of its clothes to the premium segment. Then it can have a different name for each target group.
Binavn registration
Binavn is registered in the CVR register at the Danish Enterprise Authority. Up to 5 binavn can be registered free of charge, regardless of the form of the company. All binavn over 5 cost an additional DKK 1,000/unit.
Rules for binavn in Denmark
The same rules regarding the company name apply when registering the main name and binavn. In addition, all names must be included in the Articles of Incorporation.
Change of company name and/or additional name
If a company changes its name, adds or removes additional names for the company, a report from the general meeting of the company's owners must be prepared and sent to the Danish Enterprise Authority. In order for the amendment(s) to be approved, it is required that 2/3 of the members of the general assembly vote in favor of the proposal. Since the main name and additional names must appear in the company's Articles of Incorporation, they must also be amended in this document.

A beslutningsreferat documents decisions regarding, among other things, a change of company. Before a decision becomes valid, it must appear in this document and be registered with the Danish Enterprise Authority.
