Requirements for founders of ApS

The requirements for founders of a limited liability company (ApS) vary depending on whether the founder is an individual or a legal entity. Individuals who wish to become founders of an ApS must be at least 18 years of age. In addition, they must not be under legal guardianship or be incapacitated in any way. It is also necessary that they are not in the process of restructuring or bankruptcy in another company.

Requirements for making an Aps company

The requirements for legal entities are slightly different. First of all, the company must have legal capacity. This means that it cannot incorporate another company during the incorporation process. In addition, the company must not be in the process of restructuring, bankruptcy or compulsory liquidation. It is also important that the company has the capacity to acquire rights, participate in legal proceedings and assume obligations.

It is worth noting that a legal entity that is in voluntary liquidation can still set up a new company. On the other hand, a sole proprietorship does not have the option to establish a limited liability company. This restriction is due to the fact that the business form of a sole proprietorship does not qualify as a legal person under Danish law.
