How to register a sole proprietorship in Denmark?

In Denmark, a sole proprietorship can be established by entrepreneurs who are Danish residents. The procedure for registering this legal form is not complicated and time-consuming, but there are a few necessary steps that must be followed so that the application is not rejected.

  1. You need to have a business address (this can be a private address).
  2. You need to set a business start date (preferably on the first day of the quarter, which will reduce costs).
  3. you need to choose a unique company name (on the website datacvr.virk.dk you can check that the chosen name is not repeated), as well as find a business code that describes the type of one-person company(branchekode).
  4. Then apply for a personal NemID.
  5. The next step will be to submit the application through the virk.dk website, to which you must log in with your NemID code.
  6. After that, the Danish Business Authority has time to process the submitted application, which usually takes one to two days.
  7. After a few days, the business owner will receive an individual 8-digit business identification number - CVR, which is also a VAT number (if the company trades with other EU member states, "DK" should be added before the VAT number).
  8. The last and at the same time the most difficult step will be to open a company bank account, in order not to meet with the refusal of the bank, it is worthwhile to prepare in advance a detailed business plan of the newly established company.

After some time, the owner of a sole proprietorship in Denmark can convert it into a limited liability company (ApS is the smallest and most common form).

In the case of carrying out significant administrative procedures, due to the high risk of errors that may result in potential penalties or legal consequences, we recommend consulting an expert. If necessary, we encourage you to get in touch.
